The first document that every restaurateur should familiarize himself with is GOST R 30389-2013. This document regulates catering activities. It contains requirements for the organization of the restaurant. Based on the information received, you can determine which concept your restaurant will stick to and in which room it will be located.
1. Registration and taxation
To register a restaurant, first of all, you must choose the legal form in which you will work. Possible options:
Individual Entrepreneurship (IP). It is the easiest and most affordable option. The cost of registration is minimal: the state fee is 800 rubles. For registration, you need a passport with a copy and an application according to the set pattern. The disadvantage of IP as a legal form is that it does not involve involvement of partners in the business. Therefore suitable for small businesses. If you plan to work on partnership conditions, distribute start-up capital among several owners, you will have to arrange an LLC or JSC.
Limited Liability Company (LLC). To register a business in this legal form is also not difficult. This will require an agreement between all participants of the company, as well as a share capital of at least 10,000 rubles. Ltd. is suitable for small or medium businesses. Please note that the state duty is not fixed. The amount may vary depending on the region, the amount may be different. So for accurate information please contact the tax office at your place of residence. For example, in Moscow and St. Petersburg, the state duty is 4,000 rubles.
Joint-stock company (AO). JSC is important for those who plan to open a big business, attract many partners and sponsors, and develop a restaurant chain.
Which legal form to choose? If you plan to open a cafe and be the sole owner, it is better to choose the PI. But pay attention that for institutions where alcohol will be sold, PI will not work. In order to sell alcoholic beverages, in any case, you will have to register an LLC, since a license is issued only to a legal entity.
Next you need to choose a suitable tax system. In Russia, there are 5 tax regimes. To choose the most suitable system, calculate the amount of taxes and compare which option will be more profitable for you. It is necessary to carry out such a calculation, because if you choose the wrong taxation system, this will negatively affect the amount of profit. For the restaurant, the most relevant is the USN “Income minus expenses” at a rate of 15%. Typically, the costs in catering establishments are large enough, so this tax system is more profitable.
When you decide on the legal form and taxation system, you can proceed directly to the state registration procedure. This process will take about 3 business days.
In addition, you should make a seal of the company and open a bank account. Printing will cost about 500-1000 rubles, and opening a bank account in a bank – 2000 rubles. It is worth noting that bank services can be increased by the amount of the monthly subscription fee that is charged for servicing the account.
Thus, the registration of business will have to spend from 5 to 20 thousand rubles. In your hands you will have a certificate of OGRN, a TIN certificate, a certificate of tax registration with the tax authority.
